These Terms of Service (the 'Terms') form a legally binding agreement between you ('you', 'your', 'User') and ToRun ('ToRun', 'we', 'us', 'our'), the operator of the AI-orchestration platform accessible at torun.ai and its sub-domains (collectively, the 'Service' or 'Platform'). By creating an account, accessing the Service, or otherwise using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

For the purposes of these Terms, the following capitalised expressions have the meanings set out below:

  • 'Account' means the user record created when you register for the Service, identified by a unique email address and access credentials.
  • 'AI Output' means any text, image, audio, video, code, structured data, or other content generated by an AI model in response to your inputs, system prompts, retrieved knowledge, tool calls, or other interaction with the Service.
  • 'BYOK' (Bring Your Own Key) means the feature that allows you to connect your own credentials with a third-party AI provider so that traffic from the Service is billed to your provider account rather than ours.
  • 'Content' means any data, file, prompt, conversation, instruction, workflow definition, comment, or other material you submit to, transmit through, or generate on the Service.
  • 'Merchant of Record' or 'MoR' means Polar (Polar Software, Inc.), the third-party payment processor we appoint to act as the seller of record for any paid subscriptions and purchases on the Platform.
  • 'Runs' means ToRun's prepaid usage credits — the unit in which your Platform balance is denominated and in which AI usage is priced and consumed. Runs are a closed-loop, non-cash unit: they may be used only to pay for usage on the Platform, and cannot be redeemed for cash, withdrawn, resold, or transferred to another account or person.
  • 'Sub-processor' means a third party that processes data on our behalf, including hosting providers, payment processors, AI model providers, content delivery networks, and analytics vendors.
  • 'Workflow' means a directed-acyclic-graph (DAG) of AI calls, tool invocations, and deterministic steps that turns inputs into outputs, configurable by Users.

2. Eligibility, Account Registration and Identity

2.1 Age requirement

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to create an Account. If you are under 18 but at least 13 (or the digital-consent age applicable in your jurisdiction), you may only use the Service through a parental or legal-guardian Account opened on your behalf.

2.2 Accurate information

You agree to provide truthful, current, and complete information at registration and to keep that information up to date. We may suspend Accounts whose information is materially false or stale.

2.3 One Account

Unless we expressly permit it (for example, separate personal and Organization Accounts), you may only hold one Account. Operating multiple Accounts to circumvent rate limits, free-tier quotas, BYOK pricing tiers, or moderation outcomes is a material breach of these Terms.

2.4 Verification

For certain features (enterprise plans and other identity-sensitive capabilities), we may require identity verification through document scan, business registry check, or other means. We will not enable those features until verification clears.

3. Account Security and Credentials

You are responsible for maintaining the confidentiality of your Account credentials and any BYOK secrets stored in our vault. You agree to notify us immediately of any unauthorised use of your Account at /company/contact?category=trust. We are not liable for losses arising from your failure to safeguard credentials, but we will cooperate with reasonable account-recovery requests.

3.1 Sign-in methods and social login

You may sign in either with an email address and password or by linking a supported third-party sign-in provider — currently Google, Microsoft, and X (formerly Twitter). When you choose social sign-in, you authenticate directly with the provider, which shares a limited set of profile data (typically your email address, display name, and a provider user-ID) so we can create or match your Account; we never receive your password for that provider. The provider's own terms and privacy policy continue to govern your relationship with it, and you remain responsible for the security of any third-party account you use to access the Service. If you revoke our access at the provider, or the provider discontinues the integration, you may lose that sign-in method, so we recommend also setting an email-and-password credential as a backup. How we handle the profile data received from these providers is described in the Privacy Policy.

We strongly recommend enabling two-factor authentication on every Account that holds a paid balance or wallet funds.

4. Subscriptions, Billing and Payment

4.1 Payments at launch

Paid plans are not enabled at launch. Pricing is shown for information only; no charge can be initiated, and paid features will be announced separately. When paid plans are enabled, all subscriptions, top-ups, and purchases will be processed by Polar (Polar Software, Inc.) acting as our Merchant of Record, which handles invoicing, sales tax, VAT, GST, currency conversion, payment-method capture, refunds, dunning, and chargebacks. At that point your transaction-level contractual relationship for purchases will be with Polar; your service-level relationship with the Platform is with ToRun. Polar's own terms and privacy notice also apply to the payment transaction.

4.2 Prices and changes

Prices for each plan, top-up package and add-on are published at torun.ai/pricing. We may change prices on at least 30 days' written notice (delivered to the email address associated with your Account); changes take effect at the next renewal cycle. Continued use after the effective date constitutes acceptance.

4.3 Free trial

Some plans offer a free trial period. You may cancel during the trial without charge. If you do not cancel before the trial ends, your Account will convert to the paid plan and be billed for the first cycle. Trial credits may not be transferred, sold, or converted to cash.

4.4 Renewals and cancellation

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. Cancellation takes effect at the end of the then-current cycle; you retain access to paid features until that date.

4.5 Refunds

Refund eligibility, windows, and procedures are governed by the policy published at torun.ai/refund-policy. Disputes regarding a specific charge must be filed with us (or with the payment processor directly) within 90 days of the charge date. Statutory consumer rights of refund granted by your jurisdiction (for example, EU Directive 2011/83/EU on consumer rights, or the UK Consumer Contracts Regulations 2013) are not waived by this section.

4.6 Taxes

Prices are exclusive of value-added tax, sales tax, GST, and equivalent levies unless explicitly noted otherwise. When paid plans are enabled, the payment processor calculates and remits applicable taxes based on your billing address.

4.7 Runs (usage credits)

Your Platform balance is denominated in Runs, ToRun's prepaid usage credits. Runs are closed-loop and non-cash: they may be used only to pay for usage on the Platform, and cannot be redeemed for cash, withdrawn, resold, or transferred to another account, except where non-waivable law requires otherwise. You load Runs by purchasing a top-up through the applicable app store; the number of Runs granted is shown before you confirm. Runs are consumed as you use AI features.

Runs purchased with payment do not expire. Promotional, trial, or granted Runs may carry an expiry date, shown when they are issued. If you cancel a paid subscription but keep projects that continue to incur storage cost, a recurring maintenance amount in Runs may be deducted from your balance; if the balance reaches zero we may, after notice, archive or delete those projects.

Refunds are governed by our Refund Policy and the applicable app store's rules. A refunded purchase reverses the corresponding Runs; Runs already consumed are not restored, and a refund may leave the balance negative until a later top-up clears it.

5. AI Use, Model Routing and BYOK

5.1 Provider-agnostic routing

The Service routes your requests across multiple third-party AI providers (including, without limitation, OpenAI, Anthropic, Google, xAI, Mistral, DeepSeek, and others) and may also use self-hosted models. The choice of provider for any given call is determined by our capability-first routing engine, your plan tier, your BYOK settings, and your budget rules.

5.2 BYOK terms

When you Bring Your Own Key, the relevant provider's terms of service, acceptable-use policy and privacy policy apply to that traffic in addition to these Terms. ToRun is not a party to your contract with that provider. You are responsible for keeping your BYOK credentials valid, complying with rate limits, and respecting your provider's content policies.

5.3 No warranty on AI output

AI Output may be inaccurate, incomplete, biased, offensive, or unsuitable for your purpose. You are solely responsible for reviewing and validating AI Output before relying on it for any decision, especially in regulated or high-stakes contexts (legal advice, medical diagnosis, financial planning, professional certifications, immigration, child welfare, safety-critical systems). You acknowledge that AI Output may resemble pre-existing third-party works and that you bear the risk of any infringement claim arising from your use of AI Output.

5.4 Provider outages

We do not guarantee provider availability. If a third-party provider goes down, deprecates a model, changes API contracts, or raises prices, the Service may degrade or fall back to alternative providers. Such events do not constitute breach by us and do not entitle you to refund except where the Service-level Agreement of your plan expressly provides for credit.

5.5 Billing records

Each AI call writes exactly one BillingRecord with a full pricing snapshot (PricedAtRate, FundSource, ByokTierApplied, CostBreakdownJson) regardless of success, partial completion, or failure. You may export your billing ledger at any time from your Account dashboard.

5.6 Prohibited inputs

You agree not to submit to the Service any input that is unlawful in your jurisdiction or in Turkey, including: child sexual abuse material; non-consensual intimate imagery; credible threats of violence; content designed to facilitate terrorism; or instructions to produce weapons of mass destruction. Such inputs will be reported to the relevant authorities and your Account terminated.

6. Acceptable Use Policy

You agree that you will not, and will not attempt to:

  • (a) reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service except to the extent expressly permitted by mandatory law;
  • (b) scrape, crawl, or otherwise harvest data from the Service at a rate or volume that places undue burden on our infrastructure;
  • (c) probe, scan, or test the vulnerability of any system or network without explicit written permission from our security team;
  • (d) use the Service to send spam, phishing, malware, or other unsolicited communications;
  • (e) impersonate any person or entity, falsely claim affiliation with any person or entity, or misrepresent the source of any Content;
  • (f) infringe the intellectual-property, privacy, publicity, or other rights of any third party;
  • (g) generate or distribute content that sexualises minors, promotes self-harm, encourages eating disorders, or constitutes targeted harassment;
  • (h) use the Service to generate disinformation campaigns, fabricated quotes attributed to real people, or non-consensual deepfakes of identifiable individuals;
  • (i) train competing AI models on outputs obtained from the Service;
  • (j) resell, sublicense, or otherwise commercialise raw access to the Service except through features that expressly authorise such activity;
  • (k) circumvent or interfere with security, rate-limiting, fraud-detection, or moderation systems;
  • (l) violate any applicable export-control, sanctions, or trade law.

We may, at our discretion, throttle, suspend, or terminate Accounts that breach this section, and we may report violations to law-enforcement or regulatory bodies where required.

7. Content Ownership and Licences

7.1 Your Content stays yours

You retain all ownership rights, including intellectual-property rights, in the Content you submit to the Service. We do not claim ownership over your prompts, your uploaded files, your workflows, or your generated outputs.

7.2 Licence to operate the Service

By submitting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for technical reasons such as resizing or transcoding), display, and transmit your Content solely to the extent necessary to provide the Service to you and other Users you designate. This licence terminates when you delete the Content from your Account, subject to backup retention windows and legal-hold obligations described in Section 11.

7.3 AI Output ownership

You own the AI Output generated by your use of the Service, subject to the terms of the underlying model provider and subject to applicable law. Some jurisdictions do not recognise AI-generated content as eligible for copyright protection; you should consult counsel if copyright is material to your use case.

7.4 Public surfaces

If you publish Content to a public surface (for example a public profile or a shared page), you grant us and other Users the right to view, share, link to, and quote that Content in accordance with the visibility settings you select.

7.5 Feedback

If you send us feedback, feature requests, or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

8. Third-Party Services and Integrations

The Service integrates with third-party services including Polar (Merchant of Record and payment processing, when paid plans are enabled), Bunny.net (storage, CDN, video), Kafka-compatible event streaming, AI model providers listed at torun.ai/providers, and external sign-in providers (Google, Microsoft, and X, formerly Twitter). Your use of those services is subject to their respective terms; we are not liable for their acts or omissions.

9. Privacy

Our processing of personal data is governed by the Privacy Policy at torun.ai/privacy-policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the Privacy Policy.

10. Suspension and Termination

10.1 Suspension by us

We may suspend or restrict access to all or part of your Account, with or without notice, if: (a) we believe you have materially breached these Terms, the Acceptable Use Policy, or any applicable law; (b) your Account is the subject of a credible fraud, chargeback, sanctions, or security investigation; (c) suspension is required by court order, regulator instruction, or operator of an integrated provider; or (d) continued use would put other Users, the Service, or our team at risk.

10.2 Termination by you

You may close your Account at any time from the Account dashboard. Pre-paid subscription fees are not refundable except as described in Section 4.5 or as required by law. Any remaining Wallet balance will be returned via the payment processor (or, where applicable, donated to charity per your settings) after a 90-day clearance window for chargeback exposure.

10.3 Termination by us for cause

We may terminate the Service to you, with or without notice, for material breach that you have not cured within 14 days of notice, or immediately for fraudulent activity, repeated violations, or activity that exposes us to legal risk.

10.4 Survival

Sections 5 (BYOK), 7 (Content + Licences), 14 (Disclaimers), 15 (Liability), 16 (Indemnification), 17 (Governing Law), 18 (Disputes), and any other provision that by its nature should survive termination, will survive termination of these Terms.

11. Data Retention and Deletion

We retain operational data (account profile, workspace contents, conversations) for the duration of your Account and for 30 days after you close it. Billing records and audit logs are retained for 5 years to meet legal accounting and audit obligations. Hash-chained audit trails for moderation and admin actions are retained for 5 years. Backup snapshots may persist longer; deletion from primary stores triggers deletion from backups on the next backup-rotation cycle (typically 90 days).

12. Beta Features and Early Access

From time to time we offer beta, alpha, preview, or experimental features. Such features are provided 'as is' with no SLA, may be modified or withdrawn without notice, and may not be subject to the same data-protection, billing, or refund guarantees as the rest of the Service. Use beta features at your own risk.

13. Modifications to the Service and Terms

13.1 Changes to the Service

We may add, remove, modify, or replace features, models, providers, prices, or capabilities at any time. We will provide at least 30 days' notice for changes that materially reduce features you actively use, unless emergency action is required for security, legal, or safety reasons.

13.2 Changes to the Terms

We may update these Terms from time to time. The current version is always published at torun.ai/terms-of-service with an effective date and version number. Material changes will be notified by email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may close your Account before the effective date.

14. Warranty Disclaimers

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED 'AS IS' AND 'AS AVAILABLE', WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

Some jurisdictions do not allow the disclaimer of certain warranties; in such jurisdictions our warranties are limited to the minimum required by law.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TORUN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) TWO HUNDRED EURO (EUR 200) OR (B) THE AMOUNT YOU PAID TO US (NET OF REFUNDS) IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, for gross negligence, or for any other liability that cannot be limited or excluded by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless ToRun, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your Content; (b) your use of the Service in breach of these Terms or applicable law; (c) your infringement of any third-party right; (d) your fraud or wilful misconduct; (e) any dispute between you and another User.

17. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Republic of Turkey, without giving effect to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

18. Dispute Resolution

18.1 Informal resolution

Before filing a formal claim, you agree to contact us at /company/contact?category=legal and try to resolve the dispute through good-faith negotiation for at least 30 days.

18.2 Forum

If the dispute is not resolved informally, the courts and enforcement offices of Istanbul Anadolu (Anatolian Side), Republic of Turkey have exclusive jurisdiction, subject to your mandatory consumer-protection rights described below.

18.3 EU / EEA / UK consumers

If you reside in the European Union, the European Economic Area, or the United Kingdom, you keep all statutory rights granted to you as a consumer by the laws of your country of habitual residence. Mandatory provisions of your local consumer-protection law override any conflicting term in these Terms.

18.4 Online dispute resolution (EU)

EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

18.5 Class-action waiver

To the extent permitted by law, you and ToRun each agree to resolve disputes only on an individual basis and not as part of a class, consolidated, or representative action.

19. Force Majeure

Neither party will be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, pandemics, governmental orders, internet outages, major provider outages, or industrial disputes.

20. Export Controls and Sanctions

The Service may be subject to export-control and sanctions laws of Turkey, the European Union, the United Kingdom, the United States, and other jurisdictions. You represent that you are not located in, ordinarily resident in, or a national of any country subject to a comprehensive sanctions embargo, and that you are not on any government list of restricted parties. You agree not to use the Service to facilitate any prohibited transaction.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of substantially all of our assets, provided that the assignee assumes our obligations to you.

22. Notices

Notices to you may be delivered by email to the address associated with your Account, by in-Service notification, or by posting at torun.ai/legal-updates. Notices to us must be sent to /company/contact?category=legal with a copy by postal mail to the address published on the Contact page if a formal record of service is required.

23. Entire Agreement, Severability, Waiver

These Terms (together with the Privacy Policy, the policies referenced herein, and any plan-specific or module-specific addenda you accept) constitute the entire agreement between you and ToRun regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not waive that right.

25. Language

These Terms are provided in English as the master version. Translations are offered for convenience; in case of conflict between the English version and a translation, the English version controls, except where mandatory consumer-protection laws of your country require otherwise.
